Confidential. Prepared for a named recipient and not for distribution. Access is granted individually to accredited investors under Regulation D, Rule 506(b). Opening this room is logged. Nothing here is an offer to sell or a solicitation of an offer to buy a security; any offering is made solely through definitive documents.
SignalNetwork PBC
Trust infrastructure for anyone who has to prove how a decision was made. The group runs on it too.
What this is
Delaware public benefit corporationThe problem
Anyone can produce a finished thing now. Almost nobody can show the path to it. Chat logs aren’t a record — nothing supersedes anything, and a year later nobody can say what was decided or why.
Proof of process
Your reasoning gets sealed the moment you have it, so you can show what you decided before you knew how it turned out. Corrections stack on top instead of replacing — the record survives being wrong. And it runs inside the AI your team already uses, so it fills itself.
You cannot be your own witness
A record you keep, on your own infrastructure, signed by you, is worth exactly what your word is worth. Fine internally. Worthless the moment an outsider has to believe it — a regulator, an acquirer, a court, an investor.
SignalNetwork puts the seal somewhere that isn’t you. Independent AI systems sign it, and proofs publish to addresses a stranger can check with no account and no reason to trust the company.
How access is held
Access is enforced by infrastructure, not policy. Each boundary gets its own database and credentials, so nobody reaches past their grant when something upstream fails. Scoped read-only credentials are in production. Per-boundary separation is in progress.
The company
A Delaware public benefit corporation. It will be contributed into TJG Ventures — that transfer is pending with counsel. Built as a PBC because the incentive to stay honest has to survive its own founder. Constitution and governing protocols are public and version-controlled.
What is running
Built, not plannedSignalVault
Every decision, correction and reversal, sealed as it happened. Corrections supersede rather than overwrite, so the record survives being wrong instead of hiding it.
Witness protocol
A claim is put to independent AI systems and their agreement — or disagreement — is recorded as part of the proof. No single model, including the one that wrote it, can sign off on its own work. Where they split, the split is the record.
Bedrock Passport
Proving without revealing
The next layer proves a process happened without exposing what was in it. That opens the market to anyone whose method is the asset and can’t be shown — funds, labs, firms under privilege.
Node holders get a public page and a proof trail anyone can check. No account, no need to trust the company.
Diligence
Being assembledThe technical and financial detail lands here.
This room opens with the architecture, the IP position, the models, and the plan. Each document is released individually and each release is logged.
- Architecture — the stack, the data model, what runs where
- IP — domains, marks, and the governance protocol library
- Financial model
- Business plan and go-to-market
- Node network metrics, with an as-of date
Metrics need care in this room more than anywhere else. Node holders are verified but sit at null downstream lifecycle timestamps, so onboarded and active are different numbers — and the gap between them is the core product problem, not a footnote. State both. An investor who finds the gap themselves after being shown only the flattering number will discount everything else on the page.
Section 01 states per-boundary database separation as IN PROGRESS, not shipped. That is deliberate and must stay that way until the boundaries exist. What is true today: Doppler authoritative across all three services, per-service scoped read-only credentials, encrypted fallback proven. What is not: separate databases per boundary, membership-based access. Phase 1 of 9 is complete. Do not let this paragraph drift into the present tense.
Also pending: confirm on Signal's own ledger that the 8.5M founder shares transferred to TJG, since they were issued to Mike personally with a personal 83(b). Until that shows on the ledger, this room should not assert the ownership line the holdco room asserts.
Questions go straight to the founder.
There is no team between you and an answer. The round itself is in the holdco room — start there if you haven't.
